Job Description
Purpose of the Job:
To safeguard The Corporation from emerging legal issues by leading legal team and providing advice to the CEO and executive management, creating legal awareness, designing and implementing proactive legal risk management framework, handling litigation cases, appearing to all court levels and identifying emerging trends that may affect the Corporation.
Main duties and responsibilities:
Designing proactive mechanism of reducing legal risks
Advise the company concerning on laws, regulations, directives, contracts, new agreements and review court decisions or orders and other legal affairs.
Interpret laws, rulings and regulations for the Company.
Present evidence to defend the company or prosecute defendants in criminal or civil litigation.
Present and summarize cases to judges and juries.
Draft or review contracts and other legal documents to safeguard the interests of the company.
Monitor and ensure policies of the company are consistent with the Ethiopian Law and related rules and regulations.
Study Constitution, statutes, decisions, regulations, and ordinances of quasi-judicial bodies to determine ramifications for cases.
Prepare, draft, and review legal documents, such as wills, deeds, patent applications, mortgages, leases, and contracts.
Examine legal data to determine advisability of defending or prosecuting lawsuit.
Prepare legal briefs and opinions, and file appeals in state and federal courts of appeal.
Act as agent, trustee, guardian, or executor for the company.
Liaise with company’s external lawyers on legal matters they are handling for the organization.
Conduct legal awareness creation sessions in all offices of EMC.
Ready to travel to regional offices of EMC on need basis.
Generic Duties of the Position:
Provide evidence-based, accurate and timely advice to the executive management.
Draft, review, negotiate and advise on the preparation of all contracts, licenses, and
other legal agreements (such as NDAs).
Work with internal stakeholders to increase awareness and skills in relation to contract management and legal risk, partnering with key individuals within the corporation to identify potential legal issues as they arise.
Support the continued improvement of standard form agreements, contract management and legal processes and implement improved systems and procedures where required.
Monitor and evaluate the activity performance of the department’s team and timely delivery of tasks.
Design, Develop and implement the Department’s strategic and operational plans and key objectives.
Develop, approve and monitor the Department’s budgets and mitigate over spending.
Review and approve contracts, agreements, MoUs and other documentations in accordance with the corporation’s objective and the law of the land.
Advise the wider team on data protection issues and best practice.
Remain informed of Corporation’s mandate, law guidance, briefing colleagues on new developments as appropriate and implementing new processes required to ensure compliance.
Identify human resources requirements of the Department and develop plan for meeting the requirements.
Lead the development, implementation and review of departmental policies and procedures.
Review, approve and submit Departmental reports to relevant organs.
Support the development of subordinates through periodic performance evaluations, coaching, mentoring, ongoing performance dialogue and feedback.
Manage disciplinary concerns of the Department’s staff.
Represent the Company in external relationships related with the Department.
Participate in group decision making processes by forming part of different groups/committees.
Qualification and Experience:
Master’s degree in law and Legislation, Mineral Law and other related fields with eight (8) years of demonstrated experience out of which three (3) years in a senior managerial position. Or
Bachelor’s degree in law and Legislation and other related fields with twelve (12) years of demonstrated experience of which five (5) years in a senior managerial position.
Preferred Skills and Experience:
Significant experience of advising on complex legal issues and comfortable providing understandable, accurate and timely advice on a very wide-ranging and changing set of issues.
Demonstrable experience/understanding of advising managers on the key risks inherent within complex contracts.
Working knowledge and experience of Intellectual Property law and data protection requirements and good practice.
Excellent knowledge of the commercial law.
Demonstrated technical skills and knowledge of the law of the land.
Mining sector specific knowledge and experience is an advantage.
Excellent attention to detail.
Outstanding written and oral communication skills, with the ability to communicate effectively and authoritatively to a diverse audience, and to explain complex regulatory legislation and principles.
Excellent negotiating skills.
Fluency in Amharic and English language written and verbal form.
Knowledge of other local language is an advantage.
Experience of developing systems, designing processes and leading change.
