Job Description

We are seeking a highly skilled and experienced Corporate Counsel specializing in Mergers & Acquisitions (M&A) and Legal Compliance. The successful candidate will play a critical role in managing and executing M&A transactions, ensuring legal compliance across the organization, representation of the company in different governmental offices and providing strategic legal advice to support business objectives.

DUTIES AND RESPONSIBILITIES:

        1)Merger & Acquisitions:

  • Lead and manage all legal aspects of M&A transactions, including due diligence, negotiation, documentation, and integration.

  • Draft, review, and negotiate a wide range of transactional documents, including purchase agreements, joint venture agreements, and other related contracts.

  • Collaborate with internal teams and external advisors to ensure smooth execution of M&A transactions.

  • Conduct legal due diligence to identify and mitigate potential risks in transactions.

       2)Legal Compliance:

  • Develop, implement, and monitor compliance programs to ensure adherence to applicable laws, regulations, and industry standards.

  • Advise on regulatory requirements and best practices to minimize legal and regulatory risks.

  • Conduct internal audits and investigations to ensure compliance with company policies and legal requirements.

  • Provide training and guidance to employees on legal compliance matters.

  • Liaise with regulatory authorities and manage regulatory filings and interactions.

  • Monitor changes in laws and regulations and ensure the company’s compliance programs are updated accordingly.

      3) General Corporate Support:

  • Provide legal support and advice on a variety of corporate matters, including corporate governance, securities law, and contract management.

  • Assist in the preparation and review of corporate policies and procedures.

  • Support the Head of Legal and M & A and other senior executives with special projects and strategic initiatives.

COMPETENCIES: 

  • Strong experience in managing M&A transactions from start to finish;

  • In-depth knowledge of legal and regulatory requirements related to corporate transactions and compliance;

  • Excellent drafting, negotiation, and communication skills;

  • Administrative and managerial skills;

  • Ability to work independently and collaboratively in a fast-paced environment;

  • Strong analytical and problem-solving abilities;

  • Computer skills;

  • High ethical standards and integrity;

  • Active contributor to the development of the desired organizational culture;

  • Self-starter;

  • Multi-cultural sensitivity.

QUALIFICATIONS REQUIRED:

  • LLB Degree, LLM Degree in Law strongly preferable.

EXPERIENCE:

  • 8+ years of experience in a similar role, in a multinational company organization, with ideally experience in FMCG
