Job Description

The Legal Manager plays a key strategic and operational role in safeguarding the legal interests of East African Holding (EAH) and its subsidiaries by providing expert legal advice, ensuring regulatory compliance, managing legal risks, and supporting high-level corporate transactions and governance. The role is responsible for advising the EAH Board and senior management on legal matters, interpreting complex agreements, leading legal strategy, and ensuring adherence to national laws and corporate governance standards. Reporting to the Legal Director, the Legal Manager supports the formulation and implementation of legal frameworks, policies, and systems that enhance shareholder value and ensure legal integrity across the Group.

Duties & Responsibilities:

  1. Support the Legal Director in all assigned works by the Legal Director. 

  2. Be proactive and analyze and update the management on developments in the Ethiopian legal environment; 

  3. Provide expert legal support in interpretation of and enforcement of high-level contracts (such as investment agreements, shareholders agreements, and M&A agreements) to the management of the company.

  4. Develop and lead corporate legal strategy in discussion with legal director to promote and protect the shareholders’ interests.

  5. Organize the data of EAH and subsidiary legal disputes, claims, and litigation involving, including commercial disputes, regulatory investigations, and employment-related matters and advise the EAH Board as per direction from Legal Director. 

  6. Play a key role in negotiating, and drafting high level agreements and contracts legal documents to protect the organization's interests and minimize legal risks. 

  7. Liaise with legal officers in EAH subsidiaries and develop contract management policies, processes, and templates to standardize contract practices and improve efficiency and monitor the implementation thereof.

  8. Manage legal operations, which includes managing contract signing process and filing, at the EAH Board. 

  9. Give advice the EAH board on how to enhance good corporate governance by participating in the formulation of policies and procedures relevant to EAH. 

  10. ensure the registration and protection of EAH’s intellectual property rights. 

  11. Monitor that statutory requirement are compiled with including filing annual returns, renewal of business license and general compliance. 

  12. Ensure compliance with corporate governance requirements and best practices, including board governance, shareholder relations, and regulatory filings, Advise the board of directors and senior management on corporate governance matters, fiduciary duties, and legal obligations. 

  13. Identify, assess, and mitigate legal risks and liabilities associated with business activities, transactions, and strategic initiatives. 

  14. Develop risk management policies, procedures, and controls to minimize legal exposure and protect the organization's assets and reputation. 

  15. Ensure compliance with industry-specific regulations, licensing requirements, and regulatory obligations relevant to the organization's business operations. 

  16. Provide legal support and guidance for corporate transactions, including mergers and acquisitions, joint ventures, divestitures, and strategic alliances

Job Requirements

Required Qualification

Education:

  • Bachelor’s degree in Law, Business Law or a related field.

  • A Master’s degree Law, Business Law or a related discipline is an advantage.

  • Professional certifications are an added advantage.

Experience:

  • Minimum of 8 years of experience in legal counsel, Litigation, Contact Management and Related fields. 

  • Proven experience in managing contracts, high level negotiation and managing litigations.

Competence requirement:

  • Thorough knowledge of laws and regulations relevant to the business sector.  

  • In depth knowledge in corporate governance and complex commercial agreements within a global business context. 

  • Practical knowledge in collecting, analyzing and interpreting various rules and regulations to make various business decision.  

  • Ability to understand the company's overall strategy and align legal functions to support its goals. 

  • Strong capabilities in overseeing litigation strategies and ensuring effective dispute resolution process. 

  • Identifying, assessing, and mitigating legal risks to protect the organization's interests. 

  • Effectively analyzing complex legal issues and developing practical solutions.  

  • Excellent communication skills, written and verbal.

  • Strong multi-tasking and strategic thinking ability.
